The block and head will go straight in but there are some differences that you'd need to work around. Some of the z22's have a cam driven power steering pump, the vec c doesn't as its electric, the fuel rails different also and I'm sure there I'll be other little things, but other than that.... I would have thought you'd be ok. There's a thread on here where a guy did the opposite to you, he put a vec c 2.2 in his zaffy I think and he found these small problems but worked round them easilly.
Also do you definitely have a z22se and not a z22yh as only the early vec c's have the se, 54 plate onwards have the yh and all estates and signums have the yh no matter the reg.
